Organizational Model ex Legislative Decree 231/2001
Legislative Decree No. 231 of June 8, 2001 introduced into the Italian legal system a system of administrative liability of Entities, including corporations, for certain categories of offenses (so-called predicate offenses) committed by directors, managers or employees in the interest or to the advantage of the Entity itself; this liability is in addition to that of the natural person who materially carried out the act.
The liability of companies is excluded if suitable organization, management and control models to prevent crimes have been adopted and effectively implemented prior to the commission of crimes.
Although the adoption of such a model is not compulsorily required by the Law, it is strongly recommended and now widespread among entities incorporated in corporate form and, in particular, among those operating in connection with public bodies or entities.
In compliance with Legislative Decree 231 of June 8, 2001, TPL FVG s.c.a.r.l. by a resolution of the Board of Directors dd. March 28, 2022 adopted its own Organization, Management and Control Model, as well as an updated Code of Ethics.
In ottemperanza a quanto previsto dall’articolo 6 del D.Lgs 231/2001, la TPL FVG s.c.a.r.l. ha nominato un Organismo di Vigilanza avente il compito di vigilare sul funzionamento e l’osservanza del Modello di Organizzazione, Gestione e Controllo, nonché di proporne l’aggiornamento.
Attualmente l’Organismo di Vigilanza è così composto:
